Terms of Service & Clinician Agreement
Last Updated: October 2026 • Effective for all registered clinical users
1. Administrative Scribe Only (Non-Practice of Medicine)
MedFill is an administrative software application designed exclusively to assist licensed healthcare providers in formatting, transcribing, and organizing clinical documentation.
CRITICAL MEDICAL DISCLAIMER:
MedFill is NOT a Medical Device under the 21st Century Cures Act or FDA guidance. MedFill does not provide medical advice, establish a physician-patient relationship, suggest definitive treatment regimens, or make medical diagnoses.
The licensed treating clinician retains sole, exclusive, and undelegable professional responsibility for all clinical decisions, diagnostic determinations, patient safety, and prescription orders.
2. Zero-PHI Architecture & Clinician Safe Harbor Attestation
MedFill operates on a proprietary Client-Side Tokenization Architecture. Patient identifiers (including names, dates of birth, Social Security numbers, phone numbers, and insurance policy IDs) are de-identified locally within the user's web browser prior to transmitting clinical text for administrative drafting.
As the HIPAA Covered Entity under 45 CFR § 160.103, you represent and warrant that:
- You have verified that all 18 HIPAA Safe Harbor identifiers (45 CFR § 164.514(b)) have been tokenized locally on your workstation before initiating cloud processing.
- You understand that MedFill servers and third-party AI models only receive de-identified clinical text and do not store or process Protected Health Information (PHI).
- You maintain full control of the local browser session and the in-memory re-hydration of finished documents.
3. False Claims Act & Billing Responsibility
Any procedure codes (CPT), diagnosis codes (ICD-10-CM), or reimbursement estimates displayed within MedFill are non-binding drafting suggestions generated for clinician review.
Under the federal False Claims Act (31 U.S.C. §§ 3729–3733) and Civil Monetary Penalties Law (CMPL), submitting inaccurate or unsupported claims to Medicare, Medicaid, or private payers carries severe federal penalties. The clinician assumes sole responsibility for reviewing and verifying all codes prior to signing or submitting any CMS-1500 or billing documentation.
4. Intellectual Property Notices
American Medical Association (AMA) CPT: CPT is a registered trademark of the American Medical Association. MedFill does not redistribute or sell the AMA CPT codebook. Fee schedule benchmarks are derived from public CMS Physician Fee Schedule final rules.
Proprietary Criteria: MedFill does not utilize proprietary clinical guidelines from Milliman Care Guidelines (MCG) or InterQual. Prior authorization rationales are constructed strictly from public, evidence-based standard medical peer literature.
5. Subscription Billing & Merchant of Record
Subscription payments, taxes, and currency conversions are processed by Dodo Payments, our authorized Merchant of Record.
- Auto-Renewal: Subscriptions automatically renew at the specified interval (monthly or annually) until canceled via the customer portal.
- Free Trial: MedFill provides a 5-encounter free trial without credit card requirement. Paid plans may be canceled at any time to take effect at the end of the current billing period.
6. Limitation of Liability & Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDFILL AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO MEDICAL MALPRACTICE CLAIMS, PAYER RECOUPMENTS, BILLING AUDITS, OR PATIENT OUTCOMES.
MEDFILL'S TOTAL AGGREGATE LIABILITY SHALL IN NO EVENT EXCEED THE AMOUNT ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless MedFill and its officers against any claims, losses, liabilities, or regulatory penalties arising out of your use of documents generated through the service.
7. Binding Arbitration & Governing Law
Any dispute arising under these Terms shall be resolved through final and binding individual arbitration administered under commercial arbitration rules. You waive any right to participate in a class action lawsuit or class-wide arbitration.
8. Geographic Limitation: United States Only
MedFill is designed, hosted, and intended exclusively for licensed healthcare providers practicing within the United States, utilizing US standard billing nomenclature (CMS-1500, NPI, ICD-10-CM). MedFill does not market, target, or offer services to individuals within the European Union (EU), European Economic Area (EEA), or United Kingdom, and does not knowingly collect data from EU data subjects under GDPR Regulation (EU) 2016/679.
